Ascencia Services Inc.
Terms & Conditions of Use
These Terms & Conditions ("Terms") are a contract between you ("you," "the user," or "the client") and Ascencia Services Inc. ("Ascencia," "we," "us," or "our"), a company with a registered address at 2275 Upper Middle Road East, Suite 101, Oakville, Ontario, L6H 0C3, Canada. By accessing or using the Ascencia website, submitting an intake form, booking a call, purchasing an event ticket, or otherwise using any Ascencia service (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Nature and Scope of Services
Ascencia provides coaching, education, mentorship, and community support to help individuals navigate life transitions. This is the core limitation the rest of these Terms are built around, and it should appear here in full even though it is also stated in the site footer and About page.
- Ascencia does NOT provide therapy or clinical mental health treatment.
- Ascencia does NOT provide clinical diagnosis of any kind.
- Ascencia does NOT provide licensed financial advice or investment services.
- Ascencia does NOT provide immigration or legal representation, and no guide is your lawyer or authorized representative before any court, tribunal, or immigration authority.
Any "Ascencia guide" you are matched with is a coach/mentor, not a licensed clinician, lawyer, or financial advisor, unless that individual's credentials are expressly and separately disclosed to you in writing for a specific purpose. Nothing on the Services, in an intake review, on a call, or in any written material constitutes professional medical, legal, financial, or immigration advice, and you should not rely on it as such. You are solely responsible for seeking independent licensed professional advice for any matter requiring it.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have the legal capacity to enter into a binding contract to use the Services. By submitting the intake form you represent that you meet this requirement. Ascencia may request proof of age or refuse service where eligibility cannot be confirmed.
3. The Intake, Booking, and Guide-Review Process
There is no self-serve enrollment or checkout for 1:1 or group coaching services. Submitting the intake form and booking a call does not itself create a service engagement or any professional relationship. A guide reviews your intake before the call, and the specific service(s), scope, and final pricing are confirmed only after that call. Starting prices shown on the site are estimates only; they are not binding quotes.
Ascencia may, at its sole discretion, decline to offer services to any individual, including where a request falls outside Ascencia's stated scope (Section 1) or where Ascencia determines it cannot safely or appropriately serve the visitor's stated needs.
4. Crisis and Emergency Situations
Ascencia is not an emergency or crisis service and cannot guarantee real-time availability. If you indicate you are in crisis, Ascencia will direct you toward licensed emergency support in your country; you are not required to wait for a scheduled call to seek that help. You acknowledge that in a crisis or emergency you should contact local emergency services or a crisis line directly rather than relying on Ascencia.
5. Fees, Payment, and Refunds
5.1 Coaching and consultation services
Pricing for coaching, mentorship, and consultation services is confirmed with your guide after your intake call and may vary based on scope. Payment terms, invoicing, and any reschedule or cancellation policy for 1:1 or ongoing engagements will be set out in the service confirmation you receive from your guide and, once accepted, form part of your agreement with Ascencia alongside these Terms.
5.2 Ticketed events and workshops
Workshops and live events (in person or virtual) are purchased directly as tickets and do not require intake or triage. Tickets are subject to the cancellation/refund policy stated on the event page at the time of purchase, which is intentionally shorter and less flexible than the reschedule policy for 1:1 consultations, since these are ticketed group events with fixed costs. Ascencia reserves the right to cancel, postpone, or modify an event (including substituting a guest speaker) and, if Ascencia cancels an event outright, will offer a refund or credit as stated in that event's policy.
5.3 Sponsorships and donations
One-time and recurring sponsorships/donations are non-refundable except as required by law or as separately agreed in writing, since funds may be committed to subsidizing a specific seat or program.
5.4 Currency and taxes
Prices are shown in USD or CAD as indicated. You are responsible for any taxes, currency conversion charges, or bank fees associated with your payment.
6. Guest Speakers and Third-Party Content
Some events feature guest speakers who are independent third parties, not Ascencia employees, agents, or representatives, and who are not delivering an Ascencia-branded professional service. Guest speakers are identified as "Guest speaker: [Name], [Credential/Title]" and their views and any advice they give are their own. Ascencia is not responsible or liable for the content, accuracy, or consequences of any guest speaker's presentation or advice, and featuring a speaker is not an endorsement of that individual's practice beyond the specific event.
7. No Guarantee of Outcomes
Coaching, mentorship, and educational support can help you build skills, clarity, and plans, but Ascencia makes no promise or guarantee of any particular result, outcome, employment, immigration status, financial result, or relational outcome. Your results depend on many factors outside Ascencia's control, including your own actions and circumstances beyond the Services.
8. User Conduct and Accounts
You agree to provide accurate information in the intake form, contact form, and partner inquiry form, and to keep any account or resume-link credentials confidential. You agree not to:
- Misrepresent your identity, age, or circumstances to obtain services;
- Use the Services for any unlawful purpose, or to harass, threaten, or abuse Ascencia staff, guides, guest speakers, or other users;
- Attempt to gain unauthorized access to Ascencia's systems, scrape or reverse-engineer the site, or interfere with its normal operation;
- Resell, sublicense, or commercially exploit Ascencia content or services without written permission.
Ascencia may suspend or terminate access to the Services, including refusing to book or continue a call, for any violation of these Terms or for conduct Ascencia reasonably considers unsafe or abusive.
9. Intellectual Property
All content on the Ascencia website and in its materials, including text, graphics, logos, the Ascencia name and brand elements, course or workshop materials, and the Opportunity Digest, is owned by Ascencia or its licensors and protected by copyright, trademark, and other laws. You may not copy, reproduce, distribute, or create derivative works from this content without Ascencia's prior written consent, except for your own personal, non-commercial use of materials Ascencia expressly provides to you.
10. Privacy and Data
Your use of the Services, including information submitted through the intake form, contact form, partner inquiry form, and Opportunity Digest subscription, is also governed by Ascencia's Privacy Policy, which explains what data is collected, how it is stored (including partial intake submissions saved for resume-by-email), and how it may be shared with guides or service partners for the purpose of delivering the Services. The Privacy Policy is incorporated into these Terms by reference.
11. Disclaimer of Warranties
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Ascencia disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted, error-free, or secure. Ascencia does not warrant the accuracy or completeness of any content, including guest speaker presentations, educational materials, or third-party links.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Ascencia, its officers, directors, employees, guides, contractors, and guest speakers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or related to your use of the Services, even if Ascencia has been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, Ascencia's total aggregate liability to you for any claim arising out of or relating to the Services will not exceed the greater of (a) the amount you paid to Ascencia for the specific service giving rise to the claim in the twelve (12) months before the claim arose, or (b) CAD $100.
13. Indemnification
You agree to indemnify, defend, and hold harmless Ascencia and its officers, directors, employees, guides, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Services; (c) any information you submit that is false or misleading; or (d) your violation of any law or the rights of a third party.
14. Third-Party Links and Referrals
The Services may reference or link to third-party organizations, community partners, crisis lines, or other resources. Ascencia does not control and is not responsible for the content, accuracy, or practices of any third party, and a reference or referral is not an endorsement or guarantee of that third party's services.
15. Modifications to the Services and Terms
Ascencia may modify, suspend, or discontinue any part of the Services at any time. Ascencia may also update these Terms from time to time; the "Last updated" date will reflect the most recent version, and continued use of the Services after changes take effect constitutes acceptance of the revised Terms. Material changes affecting an active paid engagement will be communicated to you directly.
16. Termination
You may stop using the Services at any time. Ascencia may suspend or terminate your access to the Services, with or without notice, for conduct that violates these Terms or that Ascencia reasonably believes is harmful to Ascencia, its guides, or other users. Sections of these Terms that by their nature should survive termination (including Sections 7, 9, 11, 12, 13, and 17) will survive.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles, regardless of your country of residence.
Before initiating a formal claim, you agree to first contact Ascencia at info@ascenciaservices.com so the parties can attempt to resolve the dispute informally. If not resolved within 30 days, any dispute will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada [or, alternatively: resolved by binding arbitration under (name a rules body), seat of arbitration Oakville, Ontario; counsel to confirm which mechanism Ascencia wants].
18. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. These Terms, together with the Privacy Policy, Refund Policy, and any service-specific confirmation you receive from a guide, constitute the entire agreement between you and Ascencia regarding the Services and supersede any prior agreements on the subject.
